Issue a share certificate

Issue a numbered share certificate over a holding, dated the day the holder became entitled to it.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

A member is entitled to a certificate for their shares after an allotment or a transfer. Transfers registered in IQ Entities reissue certificates for you; this is for a holding that has never had one, such as an allotment recorded without a certificate or a register brought over from paper.

Issue the certificate

  1. Open the company's Cap Table and find the holding in the Holdings ledger.

  2. Choose the actions button at the end of the holder's row.

  3. Choose Issue certificate…. If a certificate is already in force over the holding, the menu offers to generate or replace that one instead.

  4. Check the Shares certified and the number the certificate Will take, then enter the Issue date. Under Share certificate, choose Draw up to produce the document now, or Upload signed if it has already been signed, or leave it to record only the number. Add a board minute reference under Why (optional) and choose Issue certificate.

Issued certificates are listed on the Certificates tab of Transfers & Certificates.

Tips from practice

  • A certificate states the whole balance of the holding and takes the next number in the class's sequence. That number is spent permanently: cancelling the certificate later does not release it, and there is no draft to discard.
  • When a member reports a certificate lost, find it on the Certificates tab, choose Report lost from its menu and enter the Indemnity reference. The original is marked replaced, not deleted, and the replacement records the indemnity it was issued against.
  • To set the numbering pattern for a class, see Set up a share class.
