Record the articles

Note the provisions of a company's articles that come up most often, from the number of directors to transfer restrictions.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

Before an appointment, a share transfer or a board meeting, someone needs to check what the articles allow: how many directors there may be, what the quorum is, whether shares can be transferred freely. Recording those provisions on the company's Articles page puts the answer one click away, instead of in a 40-page PDF.

Record the provisions

  1. Open the company and choose Articles under Governance in the sidebar.

  2. Under Number of Directors, enter the Minimum and Maximum the articles permit, and the Board quorum. Tick Exactly when the articles fix the number, or Unlimited when they set no maximum.

  3. In each of the text sections, such as Authorised Share Capital, Transfer Restrictions, Director Powers or Meeting Provisions, note what the articles say. Quote the article number so the source can be found.

  4. Click Save. Discard undoes everything since the last save.

Tips from practice

  • Constitution at a glance, on the left of the page, shows the permitted number of directors and how much of the page is recorded. Click a section there to jump to it.
  • Record the quorum here as well as on each meeting: it is the first thing to check when a director resigns from a small board.
  • Note pre-emption rights under Transfer Restrictions. They decide whether a share transfer can go ahead at all.
  • File the articles document itself in the minute book, under Constitutional Documents, so the summary here and the full text sit with the company.

Next: Keep rules and policies. Related: Keep the minute book.
