Report an allotment of shares
Check the return of allotment built from the cap table and file the SH01 from the task the allotment raised.
Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.
After a company allots new shares, it sends Companies House a return of allotment within a month, with a statement of capital as it stands afterwards. Recording the allotment on the cap table in IQ Entities raises the SH01 task, and the return is built from the share records, so the figures are only as right as the transactions behind them.
Check the figures on the task
Open the (SH01) File the return of allotment task from Compliance Calendar. What this return will file shows the shares allotted, the consideration and the Statement of capital after the allotment.
If an allotment has no payment recorded, the task asks whether it was fully paid. Click Yes, fully paid, or Record amounts… to go to the cap table and enter what was paid. Yes, fully paid is saved to the share records with your name, so you are not asked again.
Check each row against the board's allotment resolution. If a figure is wrong, correct the transaction on the cap table rather than here.
If the shares were paid for other than in cash, click Add non-cash under Consideration and describe what was given for them.
File the return
Click File a registry form.
Check Review before filing and click File it.
Tips from practice
- Several allotments made before the return is filed join the same task, so one return reports them all.
- Once Companies House accepts the return, the figures are on the public register. Check the nominal value and the amount paid per share before filing, not after.
- An allotment can make someone a person with significant control. Check the PSC register afterwards: see Report a person with significant control.
