Record a person with significant control

Add an individual or a parent company to a UK company's PSC records, starting from what the cap table suggests.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

Every UK company must know who has significant control over it: anyone holding more than 25% of its shares or votes, able to appoint or remove a majority of the board, or otherwise exercising significant influence. In a group, that is usually the parent company. IQ Entities reads the cap table and suggests the holders who pass the 25% tests, so most entries start from a suggestion rather than a blank form.

The question that decides the form is what kind of controller it is.

The controller is Kind
A natural person Individual
A company that would be a PSC if it were an individual, and the first such company in the chain (usually the parent) Relevant legal entity
A corporation sole, a government body or a Scottish partnership Other registrable person

Start from the suggestion

  1. Open the company and choose PSC filings under Governance in the sidebar. The page appears for UK companies.

  2. Under Suggested from the cap table, check the holder and the bands suggested for them, and click Add as PSC. For a controller the cap table cannot show, click Add PSC at the top of the page instead.

  3. The dialog opens with the Kind and the holder filled in from the suggestion.

Complete the particulars

  1. For a relevant legal entity, enter the Law governed, Legal form, Place registered, Registration number and Country or state. Companies House requires the first two to accept a filing.

  2. Choose the Service address.

  3. Under Nature of control, check the bands ticked from the cap table, and add any other kind of control the PSC has. The trust and firm variants are never suggested; tick them only where the control runs through a trust or a firm.

  4. Enter the dates: Became registrable, Confirmed particulars and Entered in own records.

  5. Click Add PSC.

The entry appears on the register with its kind, its nature of control and its dates. Filing it at Companies House is a separate step, started from the entry's row menu.

Tips from practice

  • A relevant legal entity must name a Relevant officer whose identity Companies House has verified, and the entity has 28 days for it rather than the 14 an individual has.
  • When someone stops being a PSC, use Record cessation on their row rather than deleting the entry, so their history stays and the filing Companies House is owed is raised.
  • For a newly incorporated company, tick Named in the statement of initial significant control for a PSC listed at incorporation.
  • Import from Companies House brings in the entries already on the public register, which is the quickest start for a company new to IQ Entities.
