Set up a new subsidiary with IQ

Give IQ the new company's details in one message, approve its plan, then approve each record it creates.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

A newly incorporated subsidiary needs several records before it is complete: the company itself, its registered office, its first directors, its share class and the parent's shareholding. Each has its own page. IQ can do them in order from one message, and because the work has several steps, it first shows you its plan.

Describe the company

  1. Open IQ Assistant, or click Ask IQ on the parent's page.

  2. Give everything from the certificate of incorporation and the incorporation documents in one message:

Set up Northwind Robotics Limited as a new subsidiary of Northwind Holdings Limited: incorporated in England and Wales on 1 October 2026, registered office 1 Example Street, London EC1A 1AA, Ada Holloway as its first director, and 100 ordinary shares of £1 each held by Northwind Holdings Limited.

Approve the plan

  1. IQ answers with a Plan: the goal and the steps it will take, in order. Read it as you would a checklist from a colleague: is anything missing, or in the wrong order?

  2. Click Approve plan to let IQ start, or Reject and say what to change. IQ shows a revised plan when the steps change.

Approve each record

Approving the plan does not approve the changes: as the card says, each change still asks for your confirmation. As IQ works, Plan progress ticks off each step, and every record it wants to create comes as its own card. Open each card to read its request, then Approve it. See Approve what IQ changes.

Check the new company

  • Open the new company and read Entity Details, Addresses & Agents and Directors & Officers against the incorporation documents.
  • Open the parent's Relationships page. The new subsidiary appears under it once the shareholding is recorded.
  • Upload the certificate of incorporation and articles to the new company; see Upload documents to an entity.

Tips from practice

  • Tell IQ the first director was named in the incorporation statement. The appointment is then recorded that way and no appointment filing is raised; the card's request shows it as Named on incorporation.
  • If a step fails, its card says Couldn’t complete or gives the reason. Fix the cause and ask IQ to carry on from that step.
  • For a company you are taking on rather than forming, add the entity and let the Document Inbox read its records.
