Record a director's outside interests
Keep a dated list of the directorships, trusteeships and holdings a person has outside the group, and how you learned of each.

Before the board takes a decision, the company secretary needs to know where each director's loyalties lie outside the group: a non-executive seat at a supplier, a charity they are a trustee of, a stake in a competitor. Record those interests on the director's page as they are declared, and the picture is there when a conflict has to be checked.
An outside interest is a relationship with an organisation the group does not manage. A director's family, their trusts and the companies they control are recorded as related parties instead.
Record an interest
Open the person's page, choose Associations in the sidebar, and open Outside interests.
Click Record an interest.
Enter the Organisation and choose the Nature of the relationship, such as Directorship, Trusteeship, Shareholding or Advisory role. Only the organisation's name is required, so record what you know now and add the rest later.
Add the Country, the Registered number and the Role held where you know them, and the date the interest started under From. Leave To blank while it is current.
For a holding, enter the Interest held (%). Otherwise describe it under Nature of the interest, in the words a conflicts review would use.
Under How we know, choose where the information came from, and enter the date it was Declared or verified on. Click Record interest.
The interest joins the list, marked Current until it has an end date.
| You learned of it | Choose under How we know |
|---|---|
| The director told you, in a declaration or a questionnaire | Declared by the individual |
| You found it yourself, for example in the press or on a website | Research |
| A search of a company registry | Registry search |
When an interest ends
Open the ⋯ menu at the end of the row, choose Edit and enter the To date. Keep the row rather than removing it: a dated history shows what the director held at the time of a past decision. Remove is for an entry made in error.
Tips from practice
- Ask each director to confirm their interests once a year, and record the date of each confirmation under Declared or verified on. A director questionnaire collects the declaration through a secure link.
- Record the interests of a director's family and the companies they control as related parties, where the dealings with the group can be recorded too.
- Outside interests are included in the person profile report, which sets out everything held about a person in one document. See Run a report.
