Record a resolution

Add a board, shareholder, written or committee resolution to the company's register, with its signed copy.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

A resolution is the decision that everything else cites: the change of bank, the new articles, the appointment of the auditors. Record each one on the company's Resolutions page, whether it was passed at a meeting or as a written resolution, so it can be found by reference, linked from the instruments it enacted and produced for the minute book.

The question that decides the Type is who passed it and how.

How it was passed Type
By the directors at a board meeting Board resolution
By the members by a simple majority at a general meeting Ordinary resolution
By the members by a 75% majority at a general meeting Special resolution
By the members signing it, without a meeting Written resolution
By a committee of the board Committee resolution

Record it

  1. Open the company and choose Resolutions under Governance in the sidebar.

  2. Click New resolution.

  3. Enter the Reference your company uses and a Title that states the decision.

  4. Choose the Type and the Status. Use Draft while a written resolution is still circulating for signature, and Passed once it has been agreed.

  5. Enter the Date passed. For a written resolution, that is the date the required majority of members had signed.

  6. Under The resolution, signed, click Draw up to prepare it from your template, or Upload signed to attach the signed copy. Both can also be done later.

  7. Click Create. The resolution joins the register, with its type shown in the Type column.

Tips from practice

  • For an ordinary or special resolution, the dialog also records Votes for, Votes against and Abstentions. Record them when the resolution was passed on a poll.
  • A resolution passed at a meeting is best recorded from the meeting itself, with New resolution in its Resolutions section, so the two are linked.
  • Attach the signed copy with Add document in the resolution's row as soon as it is back. An unsigned resolution is a weak answer to an auditor.
  • Rules, policies, signing rules and authorities can each cite the resolution that set them up, so record the resolution first.

Before this: Record a board meeting. Next: Keep the minute book.
