Keep rules and policies

Record the governing rules and policies a company has adopted, each linked to the resolution that enacted it.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

Alongside its articles, a company is governed by rules and policies its board has adopted: a share dealing policy, a shareholders' agreement, standing rules for the board. Each was adopted by a resolution and may have been amended since. Keeping them on the company's Rules & policies page records which version is in force and which resolution made each change.

For companies outside the UK the same page is called By-laws & Rules.

Add a rule or policy

  1. Open the company and choose Rules & policies under Governance in the sidebar.

  2. Click New rule or policy.

  3. Enter the Number your company uses and the Title, and choose the Type, for example Policy, Rule or Shareholders agreement.

  4. Keep Status on In force, and enter the Adopted date.

  5. Under Enacting resolution, link the resolution that adopted it. Record the resolution first if it is not there yet.

  6. Add a Synopsis of what it governs, so others can tell whether it applies without opening it.

  7. Click Create. The rule or policy joins the register, with the resolution that enacted it.

Tips from practice

  • When a policy is amended, open it with Edit and click Add amendment, with the Effective date and the Resolution that made the change. Its version history then shows every change in order.
  • When a policy is withdrawn, use Record repeal rather than deleting it, so the register still shows that it applied.
  • The status filter at the top of the register separates what is In force from what has been Repealed.

Before this: Record a resolution. Related: Record the articles.
