Keep the minute book
See what is missing from a company's statutory books, file the documents that belong there, and produce the binder.
Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.
The minute book is the company's official record: its constitution, its registers, its minutes and its resolutions. In IQ Entities it is assembled from the records you already keep, so most of it fills itself as meetings are held and resolutions are recorded. What remains is filing the documents that only exist on paper or as PDFs, and producing the book when an auditor, a buyer or the board asks for it.
See what is missing
Open the company and choose Minute Book under Records in the sidebar.
Check Statutory completeness in Contents. Each section is listed with a coloured mark, and the sections the jurisdiction requires are marked REQ.
File the documents
In a section such as Constitutional Documents, each document the book expects is listed, with Not on file under any that is missing. Click File beside it, or File document at the top of the section for anything else that belongs there.
In File a document, choose a document already in IQ Entities, or upload a new one.
The Meetings & Minutes and Resolutions sections need no filing. They list the meetings and resolutions recorded for the company.
Produce the binder
Click Generate PDF binder.
Keep every section ticked for the whole book, or click Clear and tick only the sections you need for an extract.
Click Generate PDF. Each section is listed with its contents, and the documents filed against it are added as full pages.
Tips from practice
- Work through the sections marked REQ first. They are what the company's jurisdiction requires it to keep.
- For a UK company the minute book is its statutory books, and the page says so in its description.
- An extract of the constitutional documents and resolutions is often all a bank or a buyer's lawyers ask for; there is no need to send the whole book.
- The book reflects the records as they stand, so record the meeting and its resolutions before generating the binder for that meeting's pack.
Before this: Record a board meeting and Record a resolution.
