Record a PSC statement

Put the statutory statement on a company's PSC records when it has no registrable person, or is still finding out.

A company whose shares are widely held, or the top company of a group, may have no person with significant control at all. It cannot leave its PSC records empty: it must say so, in the statutory wording. The same applies while the company is still investigating, or while someone has not answered its notice. Each of these is a PSC statement.

Record the statement

  1. Open the company's PSC filings page.

  2. In Statutory statements, click Record statement.

  3. Choose the Statement that fits. The badges under it say whether it is about the company as a whole or one PSC, and whether it is filed on its own at Companies House or with the confirmation statement.

  4. If the statement is about one PSC, choose them under PSC this is about. If it answers an information notice recorded on the page, choose it under Notice this answers for.

  5. Enter Made on, the date the company made the statement.

  6. Click Record statement. It appears in Statutory statements, marked On the register.

Situation Statement
The company has looked and has no PSC The company believes it has no registrable person or legal entity
The company is still taking steps to find out The company has not yet completed taking reasonable steps to identify a PSC
The company knows it has a PSC but cannot identify them A registrable person exists but the company has been unable to identify them
Someone has not answered the company's notice The company gave notice under s.790D/DA and the addressee has not complied

Tips from practice

  • When the situation changes, for example a PSC is identified, click Withdraw on the statement rather than removing it, so the record shows when it stopped applying.
  • Record the information notices you serve in Information notices on the same page; a statement about a notice can then point to it.
  • Check the statements before each confirmation statement. Some are filed with it rather than on their own.
