Produce the register of members

Read a company's register of members on any date and generate it as a PDF or Word document.

Screenshots are retaken from IQ Entities on every release. Updated 14 October 2026.

A member, an auditor or a buyer's solicitor may ask to inspect the register of members, and a completion often needs a certified copy as at a date. IQ Entities keeps the register from the securities ledger, so it is ready on any date without anyone typing it up.

Read the register

  1. Open the company and choose Register of Members under Securities in its sidebar. Each member is listed with their address, the shares they hold in each class, what has been paid on them, and the dates they were Entered on the register and, for former members, Ceased.

  2. Change the As at date to see the register as it stood on another day. The line beside it counts current and former members and the shares held, and says from when the history is recorded.

Notes to the register lists anything the register is required to show that IQ Entities does not hold, such as whether the company numbers its shares. It is printed on the generated document too, so the copy never looks more complete than it is.

Generate the document

  1. Choose Generate document.

  2. Check the As at date, tick PDF, Word (.docx) or both, then choose Generate to open it, or Download to save it.

The generated register is filed with the company's documents.

Joint holders

Shares held jointly belong to one member with several names, and the register shows them that way: one row naming every holder, marked Held jointly, one member, and the first-named holder. The first-named holder is the one the company deals with, so the dividend is paid to them. Count the row once when you count members.

Enter a single-member statement

When a UK company's membership falls to one, or rises above one again, the register of members must carry a dated statement saying so. IQ Entities notices the change from the share register and raises a task, Enter the single-member statement in the register, due on the day it happened.

  1. Open the task from the Compliance Calendar. Date to state in the register can be left blank to use the date the share register shows the change; enter a different date only if that one is wrong. Add a Note if the entry needs explaining.

  2. Choose Record the statement. Nothing is filed with Companies House: the statement is an entry in the company's own register, and recording it closes the task.

  3. The statement appears under Statements entered in this register, above the members, with the date it was entered and by whom. It is printed on the generated register too.

Tips from practice

  • A date before History from reads as nothing recorded, not as a company with no members. Record an opening balance for each member if the history needs to start earlier.
  • A statement corrected later stays on the register marked Superseded, because a register is amended, not rewritten.
  • Shares held in treasury are counted separately and do not appear as a member, because the company is not a member in respect of them.
  • If the company's statutory register is kept outside IQ Entities, the page says so above the register: what you see and generate is a reference copy, and producing it does not discharge the duty to keep the register.
